Standard Commercial Terms and Conditions of Sale

Application, General Definitions And Entire Agreement

The Company: HydroponicsTown
The Buyer: the individual, business, or entity entering into a purchase agreement with HydroponicsTown, including any delivery address specified during the order process.
The Contract: the agreement for the sale and purchase of goods under these terms, made between the buyer and HydroponicsTown.
These terms and conditions apply when the buyer places an order for the goods listed in our quotation.
These terms and conditions represent the entire agreement between the buyer and HydroponicsTown. The agreement is considered acknowledged when the buyer accepts the quotation or when the goods are delivered, whichever occurs first.
The quotation and these terms and conditions (collectively the "Contract") govern the sale and purchase of goods between the buyer and HydroponicsTown.

General Interpretation & Definitions

  • A "business day" refers to any day that is not a Saturday, Sunday, or public/national holiday.
  • The section titles within these terms are for convenience only and do not affect the interpretation of these terms.
  • Words in the singular are understood to include the plural, and vice versa.

Product Descriptions

  • The information provided in our catalog, brochures, and website is intended to give a general idea of the products.
  • Although we strive for accuracy in product specifications, measurements, pricing, and images, the products delivered may differ slightly from those shown in our catalog, brochures, or website due to ongoing product updates.
  • The product descriptions provided in our quotation and/or sales order are final. By accepting the quotation or sales order, the buyer acknowledges they have not relied on prior representations about the products. Our sales documents are for reference only.

Placing Orders

  • The buyer is responsible for ensuring the accuracy of any orders placed.
  • Trial sales for products are not available. 
  • Before purchasing, the buyer should carefully review product specifications and their suitability for the intended use. By placing an order, the buyer confirms they have assessed the products' specifications and suitability. HydroponicsTown does not guarantee that the products will be suitable for any specific application or that they will fit within the buyer’s property, including doorways or entry points.
  • Orders accepted by HydroponicsTown can be canceled depending on stock availability, fraud concerns, or if the items are unavailable at the time of shipment.

Pricing of Goods

  • Prices include all applicable taxes.
  • Shipping charges may not be included in the quoted price unless otherwise specified.
  • Quoted prices cover only the goods and do not include installation services.
  • Any discounts provided are at HydroponicsTown’s discretion.
  • Prices may change if there is an update after the quotation date.
  • All orders placed on our website are subject to acceptance.
  • Full payment is required at the time of order unless otherwise agreed.

Delivery Terms

  • The goods will be delivered to the address provided in the buyer’s order, within the specified delivery timeframe.
  • Delivery times are estimates only.
  • HydroponicsTown will make every effort to deliver within the quoted time frame, but delivery is not guaranteed, even if expedited services are requested by the buyer. The buyer agrees not to hold HydroponicsTown liable for delays or non-delivery, nor for any costs incurred due to delays.
  • If the buyer refuses to accept delivery or provides incorrect/incomplete delivery instructions, HydroponicsTown may hold the goods and charge for associated storage and insurance costs.
  • Upon delivery or pickup, the buyer must inspect the goods. Any damages, incorrect products, or shortages must be reported within 24 hours of delivery, with supporting details or photographic evidence when possible. The buyer must allow HydroponicsTown or its carrier to inspect the damaged goods.
  • Returns are at the buyer’s risk and expense.
  • HydroponicsTown is not liable for delivery delays or non-delivery. Delivery dates are estimates.
  • Orders will be delivered from HydroponicsTown’s inventory.

Deliveries are made curbside. The buyer is responsible for ensuring their property is suitable for delivery and that appropriate arrangements are in place to receive the goods. HydroponicsTown disclaims responsibility for any failure to check that the items will fit at the delivery location. HydroponicsTown reserves the right to refuse delivery if the premises are deemed unsuitable or if the delivery would be unsafe, illegal, or impractical.

The buyer must inspect the goods at delivery. If no notification of damage, shortage, or other discrepancies is made within 24 hours, the goods will be considered accepted.

Returns Policy

  • Once an order is confirmed, it cannot be canceled.
  • Returns are accepted within 30 days from the acceptance of the order.
  • Incorrectly ordered goods may only be returned with prior authorization from HydroponicsTown.
  • Return requests must be submitted via email ([email protected]); requests via phone or chat will not be processed.
  • Items must be returned in their original, undamaged packaging and in unused condition, complete with all manuals.
  • Cancellation rights are valid only within seven business days of delivery receipt.
  • Items like printed circuit boards that are no longer sealed or unused in their original packaging are not eligible for returns. 

Returns will only be accepted under these conditions:

  • Prior written agreement
  • Payment of any applicable restocking or handling fees
  • The goods are unused, undamaged, and in their original packaging
    The buyer is responsible for all return shipping fees. The buyer must also ensure the goods are properly insured during return shipping. HydroponicsTown is not liable for any loss or damage during the return process.

Warranties
Aside from any warranty offered by the manufacturer, HydroponicsTown does not provide any further guarantees (express or implied) regarding the product quality or suitability for any specific purpose.

Product Specifications
The product specifications listed on our website are provided by the manufacturers.
As the buyer, you are responsible for ensuring the goods are suitable for their intended use and comply with all applicable laws and regulations, including intellectual property rights.

Liability Disclaimer
HydroponicsTown assumes no liability for any claims, losses, or damages arising from misrepresentations, contract breaches, delivery delays, negligence, or any other cause.
We disclaim liability for any damages arising from the use of our website, catalogs, brochures, or other marketing materials, including errors or omissions. This includes, but is not limited to, direct, indirect, incidental, or consequential damages such as loss of revenue, data, profits, or other financial harm.
Neither party will be liable for failure to perform due to events beyond reasonable control, such as natural disasters, strikes, war, fire, or other unforeseen events.

Governing Law
Any disputes arising from this contract will be governed by the laws of the applicable jurisdiction.
